1. Purpose and Scope
These terms and conditions govern all web and application development services ordered from AJTVIRTUAL - Amilcar Joao, a sole proprietorship based in Neuchâtel, Switzerland (UID CHE-319.149.887), Rue du Chasselas 16, 2000 Neuchâtel, Suisse, as well as the subscriptions offered on ajtvirtual.com. They apply to all orders placed via the website, the client area, or through direct written communication.
2. Formation of the Contract
An order results in a detailed quote. The quote, once accepted and electronically signed, constitutes a binding contractual commitment for both parties. Since the services in question are governed by contracts of free form (Art. 11, para. 1, CO), no handwritten signature is required for their validity.
Unless the customer withdraws within the time limit specified in Article 4 below, the quote is deemed accepted, and the obligations set forth therein take effect.
3. Prices and Payment Terms
Prices are listed on the quote in CHF, EUR, or USD, depending on the customer's choice. Depending on the total amount:
- Less than 800.-: full payment before work begins.
- Between 800.- and 4,000.-: an initial payment of 30% at the start of the project, with the remaining 70% due before final delivery.
- Over 4,000: 30% at the start of the project, 40% during the project, 30% before final delivery.
Payment can be made by bank transfer, QR payment slip, online via credit card, Apple Pay, or Google Pay (Stripe), or TWINTthrough the AJT Connect app (Stripe). Payments made for a phase that has already begun are non-refundable. Final delivery and the transfer of access rights will take place only after the balance has been paid in full.
4. Cancellation Period
The customer has 10 days from the date the quote is signed to cancel by sending an email to contact@ajtvirtual.com. No postal mail is required. After this period, if the client has not withdrawn from the agreement and payment has not been made, the quote is deemed to have expired automatically, and the project will not proceed.
5. Performance and Deadlines
The project begins upon receipt of the deposit. The deadlines specified in the quote begin on the date of receipt and upon the client’s submission of the necessary materials (content, access information, login credentials, approvals). Any delay in submitting these materials will result in a corresponding delay in delivery.
6. Electronic Signature—Legal Basis (Swiss Law)
quotes are signed using a simple electronic signature (SES) that is time-stamped, in accordance with the Federal Act on the Certification of Electronic Signatures (ZertES, RS 943.03). For the digital services referred to in Article 1, no written form is required by law: the SES is fully valid for the formation and performance of the contract (Art. 11 and 14(2bis) CO). Electronic documents constitute admissible evidence before Swiss civil courts (Art. 177 and 168(1) CPC). Data associated with the signature (name, email address, timestamp) is processed in accordance with the Federal Data Protection Act (FDPA, RS 235.1) and retained for 10 years in accordance with Art. 962 CO.
7. Subscriptions
Services billed as subscriptions are paid by credit card on the secure Stripe payment page. The first payment is charged immediately and then automatically renewed according to the selected billing cycle (monthly or annually). The subscription has no minimum term: the customer may request cancellation at any time by emailing contact@ajtvirtual.com.
8. Governing Law
These terms and conditions are governed by Swiss law.
